This Payment Policy governs the Payment Services (as defined in the Speakede Terms) provided by Speakede to you. Capitalised terms (including “Speakede”, “Us”, “We” and “Our”) used but not defined in this Payment Policy shall have the meaning ascribed to such terms in our Speakede Terms.

Key Terms for Payment Services

“Lesson Fees” or “Package Fees” means the amounts that are due and payable by a Learner for confirmed lessons that have been given by a Tutor. The Tutor alone, and not Us, is responsible for setting the amount of the Lesson Fees or Package Fees.

“Learner’s Wallet” means an account created by Learners to make payments for Tutor services.

“Service Fees” means the fees We charge the Tutor when using Our Connection Services.

“Payment Method” means a method or service available on Our Platform for a Learner to make direct payments, such as credit card, debit card, Pay with bank, Pay with transfer.

“Tutor Wallet” means an account created by Tutors to receive payment for Tutor Services.

“Withdrawal Method” means a method or service available on Our Platform for a Tutor to receive funds for tutor services rendered to Learners, such as Paypal, and other third party payment providers.

  • Lesson Contract

Upon confirmation of Tutor Services, time, and price by both the Learner and the Tutor, such Learner and Tutor shall be deemed to have entered into a contract, pursuant to which the Learner agrees to purchase, and the Tutor agrees to deliver, the Tutor Services (the “Lesson Contract”). You agree not to enter into any contractual provisions that conflict with Our Terms or Policies. The Learner and Tutor each covenant and agree to act with good faith and fair dealing in performance of the Lesson Contract. Furthermore, the Learner and Tutor each acknowledge and agree that the value, reputation, and goodwill of Our Platform depends on their performance of the foregoing covenants and agreements. The Learner and the Tutor therefore agree that We have the right to take such actions with respect to the Lesson Contract, including but without limitation to suspension, termination, or legal actions, as We, in our sole discretion may deem necessary to protect the value, reputation, and goodwill of Our Platform.

  • Financial Terms for Learners

For Learners, you must complete payment transaction for the specific lesson of interest by the Tutor to purchase Tutor Services from a Tutor. We will provide you with the required information for you to make the payment.

  1. Making Direct Payments:

Learners agree to pay the applicable fee for their desired content directly through our Platform. You authorize us to charge your debit or credit card for those fees.When you make a purchase, you agree not to use an invalid or unauthorized payment method. If your payment method fails and you still get access to the content you are enrolling in, you agree to pay us the corresponding fees within 30 days of notification from us. We reserve the right to disable access to any content for which we have not received adequate payment.

  1. Refunds on Authorised Payments:

You may have a right to request a refund, if you are not satisfied with the tutor services. Such complaint must be made within 7 days of making payments for the course. Also,  the Complaint must be  deemed valid and genuine at Our sole discretion. We reserve the right to request additional information or evidence to support the complaint, and our discretion shall be final and binding.

  1. Third Party Payment Method Fees:

When making payment through a third party platform, you may be charged additional fees by the third party that provides the applicable Payment Method. These fees are not under Our control, and We disclaim all liability in this regard. Whatever Payment Method you use may be subject to additional terms and conditions, which we recommend that you review before using such Payment Method.

  1. Cancelled Lesson Requests:

Where a Lesson Request is cancelled by the Learner, declined by the Tutor, or expires (not confirmed by the Tutor within the request period), you will receive a 100% refund in the form of funds  to the Learner’s wallet.

  • Confirmation of Lessons:

As a Learner, when you confirm a Lesson was successful, you confirm that the Tutor has completed the applicable Tutor Services fully and satisfactorily, if we do not receive a complaint or refund request from you within the stipulated window and you are instructing Speakede to transfer the applicable funds from the Tutor’s Wallet to the Tutor’s withdrawable Wallet.

  • Feedback and Ratings on Lessons:

As a Learner, when you confirm a Lesson was successful, you may be asked to leave feedback and a rating for the Tutor. Leaving feedback or a rating is optional. However, if you do so, you agree that your feedback must be genuine and honest, and will not commit fraud, spam, insult, harass, threaten, or otherwise misuse the feedback system.

You agree to report violations or abuses of our rating and feedback system by contacting Our Customer Support Team, and agree not to take any actions that undermine the integrity of the feedback system.

  • Flexible learning

            Our platform empowers learners to take ownership of their learning experience, with freedom to progress at their own speed and on their own schedule. Learners can register and learn at their own pace, managing their courses from their personalised dashboards. With flexibility to: Take quizzes and receive participation certificates upon completion, pause and resume courses at any time, also to rate and review courses to help other learners make informed decisions.

  • Financial Terms for Tutors

For Tutors, funds will be sent to your wallet to receive payment for Tutor Services from Learners. We provide each Tutor with a “Tutor Wallet ” to hold their funds.

  1. Accepting Lesson Requests

Tutors will receive requests for Lessons from Learners (“Lesson Requests”). By accepting a Lesson Request, you agree to provide the Lesson to the Learner at the date and time as described in the applicable Lesson Request. You can choose to decline any Lesson Request. If you do not respond, the Lesson Request will automatically expire.

  1. Cancellations of Lesson Requests

As a Tutor, you acknowledge and agree that We may in Our sole discretion cancel a confirmed Lesson Request pursuant to Our Terms and Policies. You further acknowledge and agree that We and the relevant Learner will not have any liability for such cancellations or refunds.

  1. Refund Policy

You acknowledge and agree that learners have the right to receive a refund. You will not receive any payments from transactions for which a refund has been granted.

If a Learner asks for a refund after we have paid you, we reserve the right to either (1) deduct the amount of the refund from the next payment sent to you or (2) where no further payments are due to you or the payments are insufficient to cover the refunded amounts, require you to refund any amounts refunded to Learners for your Lesson package.

  1. Our Commission Fees

We collect commission fees when successful completion of a Lesson is confirmed by the Learner. For each successfully completed Lesson, the commission is 30% of the total cost of such Lesson (“Commission Fee”). The Commission Fee will be deducted upon the transfer of funds to the Tutor’s Wallet.

The balance shown in the Tutor Wallet is the full balance after all fees have been deducted. Amounts may be rounded up or down as described in the “Rounding Off” section below.

To the extent any refunds are issued to a Learner, no Commission Fees will be charged to the Tutor with respect to funds that are refunded back to the Learner.

  • No Circumvention of Commission Fees

Tutors shall not to engage in any action or activity meant to circumvent the Commission Fees, with such actions or activities including, but not limited to, the following: (i) suggesting, soliciting, or accepting payment outside of Our Platform, or by other means other than through the Payment Services; or (ii) reporting or listing an inaccurate price for a Lesson on Our Platform, or charging a fee for a Lesson that is different from the amount agreed between Learner and Tutor.

  • Withdrawal of Funds

Your earnings will be credited to your Wallet and you can make withdraw your funds once: (i) the available balance is, or  exceeds NGN 30,000.00 (Thirty Thousand Naira) Only (ii) after 10 days since the learner made payment ensuring sufficient time for any potential learner disputes or refund requests to be resolved. You may be charged additional fees by the third party that provides the applicable Withdrawal Method. These fees are not under Our control, and We disclaim all liability in this regard. Whatever Withdrawal Method you use may be subject to additional terms and conditions, which we recommend that you review before using such Withdrawal Method.

  • Withholding or Delaying Disbursement of Funds

If We determine that a Tutor’s actions may have resulted or will result in a significant number of disputes, refunds or other claims from Learners who purchased such Tutor’s Lessons, We reserve the right to delay or stop the disbursement of all funds accrued in such Tutor’s Wallet. If We reasonably conclude that a Tutor has violated the Our Terms or Policies, We may refuse to disburse the funds accrued in such Tutor’s Wallet and debit such funds from the Tutor Wallet.

  • Rounding Off

We may, in Our sole discretion, round up or round down amounts that are payable from or to Tutors or Learners to the nearest whole functional base unit in which the currency is denominated (e.g. to the nearest Naira); for example We may round up an amount of NGN 101.50 to NGN 102.00, and may round down an amount of NGN101.49 to NGN 101.00.

  • Lesson Bundles

A Tutor may offer Learners, and Learners may purchase from a Tutor, more than one Lesson in a single bundles (each such lesson bundle, a “Lesson Bundles”). Learners are expected to complete all Lessons in the Lesson Bundles within six (3) months of the purchase date (the “Bundle Expiration Date”).  If there are any remaining Lessons that have not been completed on or before the Bundle Expiration Date, We will send reminders to both the Learner and the Tutor prior to the applicable Bundle Expiration Date. The Learner may extend the Lesson Bundle on the Learner’s Account before the applicable Bundle Expiration Date, but if the Learner fails to do so, then all remaining funds in the Bundle will be sent to the Tutor, minus Our Commission.

  • Taxes

Tutors shall be solely responsible for determining their applicable tax related duties in connection with the income obtained from their Tutor Services, and shall also be solely responsible for remitting to the relevant authority any applicable taxes that need to be paid. We cannot and do not offer tax-related advice to any Members.

  • Our Rights Regarding Accounts and Funds
  • Security and Financial Fraud

As a security measure, We may impose transaction limits on some or all Learners and Tutors relating to the value of any transaction or disbursement, the cumulative value of all transactions or disbursements during a period of time, or the number of transactions per day or other period of time. We may impose these limits before any services are rendered where we determine its necessity for security reasons or the prevention of fraud.We reserve the right to void transactions that are found to be fraudulent.

  1. Reservation of Rights for Erroneous Transactions

We reserve the right to seek reimbursement from any Tutor or Learner, Where we, in Our sole discretion, determine that erroneous or duplicate transactions have occurred. We may obtain such reimbursement by deducting from future payments owed to such Tutor, by reversing any fund to such Tutor’s Wallet, or by seeking reimbursement from such Tutor by any other lawful means.

  1. Prohibition on Friendly Fraud

“Friendly Fraud” is when a person initiates a fraud dispute with a payment provider, claiming that their credit card (or other payment method) was not intended to be used. Because We do not offer refunds, users that disagree with the policy may attempt to use Friendly Fraud to receive a refund.

This type of behavior is illegal and prohibited by all payment providers. We also strictly oppose Friendly Fraud. Where Friendly Fraud is discovered, the Learner’s Account and Wallet will be deactivated, purchased credits will be confiscated, and the Learner will be flagged as a financial security risk.

In the case of honest mistakes, We can reverse the transaction. We strongly advise Learners to contact Our Customer Support Team to resolve any financial disputes.

  • Prohibitions

In addition to complying with the restrictions regarding improper use of Our Platform described in Section 11 (Restrictions) of Our Terms, you understand and agree that you are solely responsible for compliance with any applicable laws, rules, regulations, and tax obligations that may apply to you in connection with the use of the Payment Services. In addition, you may not and you agree that you will not:

  • Violate any local, state, provincial, national, or other law or regulation, or any order of a court, such as money laundering and internet fraud or theft;
  • Use the Payment Services for any commercial or other purposes that are not expressly permitted by this Payment Policy;
  • Use the Payment Services to transmit, distribute, post or submit any information concerning any other person or entity, including but without limitation to, personal contact information or credit, debit, calling card or account numbers, or photographs of others without their permission;
  • Register any Payment Method or Withdrawal Method with your Account that is not yours or you do not have authorisation to use;
  • Attempt to probe, scan, or test the vulnerability of Our systems or networks or breach any security or authentication measures;
  • Avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Us or any other third party (including another Member) to protect the Payment Services;
  • Forge any Transmission Control Protocol/Internet ProtocolTCP/IP [HL2] packet header or any part of the header information in any email or newsgroup posting, or in any way use the Payment Services to send altered, deceptive or false source-identifying information;
  • Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Payment Services;
  • Use credit cards or other payment methods fraudulently;
  • Advocate, encourage, or assist any third party in doing any of the foregoing.

We have the right to investigate and prosecute violations of any of the above to the fullest extent of the law. In addition, and as set in this Payment Policy, We may take a range of actions against you, including but not limited to limiting access to your Account and any associated Payment Services, for a violation of this Payment Policy.

Tutor – Learner Dispute

In the event of a disagreement between a Tutor and a Learner, We encourage the Tutor and Learner to communicate directly and attempt to resolve the disagreement. Where a Tutor and Learner are unable to resolve a disagreement and We are asked to mediate, We may request that the Tutor and Learner both provide communication records regarding the dispute, which should show all key relevant information including the time, date and communication details. While we will attempt to evaluate the dispute on an impartial basis, We will have the authority to resolve the dispute in Our sole discretion, and Our resolution of the dispute shall be final. As a result, We shall have the right, in Our sole discretion;

To transfer credits, offer a refund, or reverse a transaction.

To designate who shall bear the Commission Fee resulting from any such actions.
