SCOPE

Speakede (“we”, “us”or “our”) recognizes and respect the intellectual property rights of others and are committed to fulfilling our moral and legal obligations and expect our members to do the same.  We acknowledge that copyright infringement is a violation of the law and may impose civil and /or criminal liability on the individual infringer. Therefore Members (“you”, or “your”) must adhere to this policy, in line with the copyright Act of 2022 and any relevant  laws currently in force in Nigeria. This policy outlines our procedures for ensuring copyright compliance on our website.

YOU ACKNOWLEDGE AND AGREE THAT, BY ACCESSING OR USING THE PLATFORM OR BY DOWNLOADING OR POSTING ANY CONTENT FROM OR ON THE PLATFROM OR THROUGH THE SERVICES, YOU ARE INDICATING THAT YOU HAVE READ, AND THAT YOU UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS AND RECEIVE OUR SERVICES, WHETHER OR NOT YOU HAVE REGISTERED WITH THE SITE. IF YOU DO NOT AGREE TO THESE TERMS, THEN YOU HAVE NO RIGHT TO ACCESS OR USE THE PLATFORM, OR COLLECTIVE CONTENT.

  • Copyrighted material:
    • All content, including text, images, videos, and audio files used on Speakede must be original or properly licensed from the copyright owner. Members are prohibited form uploading, sharing or distributing any copyrighted material without permission from the copyright owner.
    • Speakede requires you not to use the platform to violate anyone’s intellectual property Rights. Intellectual Property Rights means Rights such as copyright, trademarks, domain names design rights, database rights, patents and all other intellectual property rights of any kind whether or not they are registered or unregistered (anywhere in the world).
  • Fair use and fair dealing:

Members are required to the provisions of the Copyright law and other relevant laws in force in Nigeria. Copyrighted materials are to be used only for limited learning purposes such as research, review etc. Members shall comply strictly with the limitations as set forth in the Act.

  • Modifications:

We reserve the right, at Our sole discretion, to modify Our Platform and to modify this policy, at any time and without prior notice. Where we modify this policy, we may either post the modification on the Sites and the Applications or otherwise provide you with notice of the modification. We will also update the “Updated” date at the top of the policy. By continuing to access or use Our Platform after we have posted a modification on the Sites and the Applications or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified Terms. Where the modified Terms are not acceptable to you, your only recourse is to cease using Our Platform

  • Indemnification:

SPEAKEDE IS A SKILLS & LANGUAGE LEARNING APP. WE ONLY FACILIATTE LEARNING THROUGH OUR WEBSITE BY CONNECTING TUTORS AND LEARNERS VIA OUR PLATFORM. WE  DISCLAIM ANY LIABILITY FOR COPYRIGHT INFRINGEMENT ARISING FROM MEMBER-GENERATED CONTENT OR LESSON PLANS. WE DO NOT ACT AS A CONTRACTING AGENT FOR ANY USER ON THE APP AND ASSUME NO RESPONSIBILITY FOR THEIR ACTIONS OR CONTENT. AS A MEMBER, YOU AGREE NOT TO DO ANYTHING TO CREATE A FALSE IMPRESSION THAT YOU ARE ENDORSED BY, PARTNERING WITH, OR ACTING ON BEHALF OF OR FOR THE BENEFIT OF SPEAKEDE, INCLUDING BY INAPPROPRIATELY USING THIRD PARTY’S INTELLECTUAL PROPERTY.

You agree to indemnify and hold harmless the App’s owners, officers, directors ,employees, agents and affiliates from any claims, demands, agents and affiliates from any claims, demands,or damages(actual or consequential) of any kind and nature , known or unknown, suspected or unsuspected , disclosed or undisclosed arising out or in any way connected with your use of the App, or any content or lesson plans you post.

  • Speakede Articles/Ownership rights
    • In addition to Clause 10 (Member Content) of Our Terms, this  clause (Speakede Articles) applies to you, where you are a Member that posts, uploads, publishes or submits any articles (an “Article”) to Our Platform.An Article constitutes Member Content. Accordingly, you own the copyright to your Articles as We do not claim any ownership rights in an Article. You acknowledge that plagiarism is theft of intellectual property. Plagiarism can constitute copyright infringement and you can be held accountable. Where reference is made to other works (books, news articles, publications, websites, etc.), you MUST give credit to the source. We will (not obligated to) review each of your Articles before they are published on Our Platform. Where it is discovered that your Article contains infringing materials, We will reject such Article, and you will no longer be able to write/publish Articles for/on Our Platform.We have the right (but not the obligation) in our sole discretion to refuse or remove any content that is available via the service that we deem inappropriate , illegal offensive, threatening, libellous, defamatory, obscene or otherwise objectionable or violate any Party’s intellectual property Rights or this Agreement.You grant to Speakede a non- exclusive, royalty free, non- transferable and revocable license to use any of your intellectual property rights including any pre-existing material as reasonably required for Speakede to provide the services to the members.In addition to the license you grant to Us to use, view, copy, modify, distribute, publish and otherwise exploit your Member Content (including your Articles) pursuant to (Clause 10 Member Content) of Our Terms, you hereby grant Us (i) the right to publish and republish your Articles and/or any content contained therein on Our Platform, and to distribute your Articles and/or any content contained therein through email, downloadable file, and any other digital media; (ii) the right to archive the Article, to republish the Article and to make such Article available on Our Platform perpetually; and (iii) the right to edit and adjust the format of any Article for the purpose of ensuring such Article is suitable for display on Our Platform.We will give credit to you as the author of any Article submitted by you, and will provide a link to the profile page of your Account. We claim no intellectual property rights over the content of the material you use to create lessons using our service. Your profile and materials uploaded remain yours. However, by setting your content to be shared publicly (through shareable weblinks ), you agree to allow others view and share your content.
    • Your ownership of, or any right, title or interest in, any intellectual property in an item which exists prior to the Effective Date will not be altered, transferred or assigned by virtue of this Agreement. Any material provided through the Lesson content on the platform remains copyright of the originator of the material.
  • Notice of copyright infringement and take down procedure:
    • If you believe that material located on or linked to by users of the services violates your copyright, you are encouraged to notify us we will respond to all such notice in the appropriate manner, including as required or appropriate by removing the infringing material or disabling ALL LINKS to the infringing material.We have implemented procedures for receiving written notification of claimed copyright infringement and for processing such claims in accordance with applicable law.
    • We have the discretion (but not obligation) to terminate a member’s access to and use of the services if, we determine that member is a repeat infringer of the intellectual property rights of us or third parties.
  • Members Warranties:

By posting any material (including without limitation, Member Generated Content, photographs and videos) to the Speakede  site you are warranting and representing that you own or have the right to post or make such submission of the material, or are making your submission or posting with express consent of the owner, and that no other party has any right, claim or interest in the material you posted. You also warrant that all moral rights in any material that you submit to use or post have been waived. Submitting or posting material that is the property of another , without the consent of its owner, is not only a violation of these terms, but may also subject you to legal liability for infringement of copyright , trademark or other intellectual property rights.
